Welcome to the Purdue University Global, Inc. (Purdue Global) website service (the "Website" or the "Service") managed by Kaplan Higher Education, LLC (Kaplan). Please read the following terms and conditions of use (the "Terms") carefully before using this Service. By using this Service, you signify your acceptance and agreement to the Terms. IF YOU DO NOT ACCEPT AND AGREE WITH THE TERMS, PLEASE DO NOT USE THIS SERVICE. Purdue Global may change the Terms from time to time. Please review this section frequently for any change in the Terms. If you do not accept and agree with any changes in the Terms, you may terminate the use of the Service at any time. Your continued use of the Service constitutes your acceptance and agreement that you acknowledge the modifications and that you will abide by the new Terms. 

You agree and continue to agree to use the Service in a manner consistent with all applicable laws, rules, and regulations and in accordance with the Terms. Purdue Global reserves the right to remove any message from the site and to block or terminate any user access for any reason whatsoever. You understand that Purdue Global may change, discontinue, or suspend any aspect of the Service at any time without notice or liability. The term "Purdue Global" as used herein includes the corporate entity, Purdue University Global, Inc., and its directors, officers, employees, agents, successors, and assigns. 

This Service and its content, including text, graphic, photographic, video, and audio files, is protected by all applicable copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the United States and other countries. No material from Purdue Global or any website operated, licensed, or controlled by Purdue Global may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, except that you may download one copy of the materials on any single computer for your personal, non-commercial home use only, provided you keep intact all copyright and other proprietary notices. Modification of the materials or use of the materials for any other purpose is a violation of the copyright and other proprietary rights of Purdue Global. For purposes of this Agreement, the use of any such material on any other website or networked computer environment is prohibited. You acknowledge that Purdue Global remains the owner of the posted materials and that you do not acquire any of those ownership rights by downloading copyrighted material. You agree to use the Website and all material on the site solely for your own non-commercial use or benefit and not to sell, resell, or exploit for any commercial purposes any portion of this Service, the use of this Service, or access thereto. You understand and agree that you acquire no rights or licenses in or to the Service and the materials contained therein, other than to use the Service according to the Terms of this agreement. 

Purdue Global does not control the content posted by you or third parties on the Service. You are solely responsible for the content of your submissions to this Service. By using this Service, you agree that you will not post or use in any way in connection with this site: 1) material that defames, libels, abuses, or threatens others; 2) material that is protected by copyright, trademark, or other proprietary right, without the permission of the owner; 3) statements that, in the sole opinion of Purdue Global, are offensive, hateful, or inappropriate in view of the educational goal of this Website; 4) material that advocates illegal activity; 5) material that contains vulgar, obscene, or indecent language or images; 6) advertising or any form of commercial solicitation; 7) material that in any way interferes with or disrupts the Service, or the networks or servers connected to the Service. While Purdue Global does not and cannot pre-screen or review every message posted on the Service and is not responsible for the content of these messages, Purdue Global retains the sole right to determine whether any posting violates the Terms of this Agreement. Purdue Global retains the sole right to delete from the Website, upon discovery or at any other time, any statements or postings that violate the Terms. Users who, in the sole opinion of Purdue Global, violate this Agreement shall be subject to termination from the use of the Website. Only public domain files or files where the owner has given express permission for online distribution may be posted to message boards on the Service. The posting of any other type of file is strictly forbidden. All material or information submitted to Purdue Global seminars or message boards, or all material or information that you submit without a specific restriction on disclosure, shall become the property of Purdue Global, and all title and interest therein shall vest with Purdue Global. The submission of material or information to Purdue Global in no way creates any obligation or duty on the part of Purdue Global to post or use such material. Purdue Global does not necessarily endorse, support, sanction, encourage, verify, or agree with the comments, opinions, or statements posted on message boards or otherwise contained in the Service. Any information or materials placed online, including advice and opinions, are the views of those who post the statements and does not necessarily represent the views of Purdue Global.

PURDUE GLOBAL DOES NOT WARRANT THAT THE SITE OR MATERIALS IN THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THIS SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NEITHER PURDUE GLOBAL NOR ANY OF ITS AGENTS, AFFILIATES, OR CONTENT PROVIDERS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE SERVICE, OR INABILITY TO GAIN ACCESS TO OR USE THE SERVICE, OR OUT OF ANY BREACH OF ANY WARRANTY. YOU HEREBY ACKNOWLEDGE THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT ON THE SERVICE. 

Once you become a registered user of the Service, you shall receive a username and password (Access Credentials) which provides access to the Website. You may not use another person's Access Credentials without that person's permission and the permission of Purdue Global. You may not use another person's Access Credentials to impersonate that person. You are entirely responsible for maintaining the confidentiality of your Access Credentials. Furthermore, you are entirely responsible for any and all activities that occur under your Access Credentials. You may change your password at any time by following the instructions provided by the Service. You agree to immediately notify Purdue Global of any unauthorized use of your Access Credentials or any other breach of security that you know of. We will take reasonable steps to prevent third parties from illegally accessing the information that you send us. However, there is always some risk that a third party will improperly access your information. By using this Service, you agree to accept this risk and agree to hold Purdue Global harmless from any claims resulting from improper access to your information. 

You acknowledge that Purdue Global, the Purdue Global logotype, and other symbols and graphic elements in and on the Service are trademarks owned by Purdue Global. 

You agree to indemnify Purdue Global and its affiliates, directors, employees, agents, and representatives, and to hold them harmless, from any and all claims and liabilities (including attorneys' fees) which may arise from (1) your use of the Service; or (2) from your breach of the terms of this Agreement; or (3) from any such acts by someone else through your account, your equipment, and your facilities. You further agree that Purdue Global is not responsible, and shall have no liability to you, with respect to any material posted by others. 

You understand and agree that you take full responsibility for the decision to access and to continue to use the information provided by the instructors through the Service. The instructors who provide information believe it to be accurate and reliable. However, much of the information provided represents opinion or judgment. Neither Purdue Global nor the instructors guarantee the accuracy or completeness of any information provided in this Service. Neither Purdue Global nor the instructors will be responsible for any errors or omissions or for the results obtained from the use of such information. Neither Purdue Global nor the instructors shall be liable or responsible to any person or entity for any loss or damage caused, or alleged to be have been caused, directly or indirectly, by the information or ideas contained, suggested, or referenced in this Service. Your participation in this Service, therefore, is solely at your own risk. In addition, you hereby release and agree to hold Purdue Global, Kaplan, their affiliates, directors, officers, employees, agents, successors, and assigns harmless from any act of nonfeasance, misfeasance, or malfeasance. You agree to fully indemnify and hold Purdue Global and its affiliates, directors, officers, employees, agents, successors, and assigns, and separately and individually, the instructors accessed through the Service, harmless from any and all claims, demands, losses, liabilities, damages, or expenses for investigation or reasonable attorney's fees and/or court costs arising out of, or in any way related to, this Agreement, including any personal injury or property damage whether such liabilities, claims, or demands arising out of the negligent acts of Purdue Global or from some other cause. Furthermore, the aggregate liability arising to Purdue Global under or with respect to the Agreement, and specifically the advisor services, shall in no event exceed the total fees (as established by Purdue Global and listed on the Service) paid or payable by you to Purdue Global. 

Your dealings with advertisers or other parties found on or through the Service, including payment and delivery of such advertiser's or other party's goods and services, are solely between you and the advertiser or other party. You agree that Purdue Global shall not be liable for any loss or damage of any kind related to such dealings. 

This Agreement shall be governed by and construed in accordance with the laws of the state of New York, without giving any effect to any principles of conflicts of law. Any dispute arising from the terms of this Agreement or a breach of this Agreement will be governed by the laws of the state of New York. You agree to submit to the exclusive jurisdiction of the courts of the state of New York. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This Agreement constitutes the entire agreement between the parties relating to the subject matter herein and supersedes all previous agreements. Any use of the Service by User after such notice shall be deemed to constitute acceptance by User of such amendments, modifications, or new conditions.
